This is an English translation of the Hungarian Általános szerződési feltételek (ÁSZF). If the two versions differ, the Hungarian version prevails.
1. Parties and scope
These terms apply to the legal relationship between Tokár Ádám egyéni vállalkozó (5700 Gyula, Szőlős utca 4/1., Hungary, tax number: 92003747-1-24, registration number: 62232744) as provider (hereinafter: the Provider) and the business or individual using the SzervizAI service (hereinafter: the Customer). Both businesses carrying out vehicle repair or related activities and individuals can order the service. If the Customer is a consumer, that is, a natural person acting outside their trade, business or profession, the consumer provisions in section 10 also apply, and nothing in these terms limits the rights that the law gives consumers. Where the individual contract provides otherwise, it takes precedence over these terms.
2. The service
SzervizAI is a subscription service which, depending on the package chosen by the Customer, may include: a website chatbot, online booking, a digital phone receptionist, a customer and vehicle CRM, tire storage records and automatic notifications. The digital assistant does not diagnose technical faults, and only gives repair prices from the price list provided by the Customer. Invoices to the Customer's own customers are issued from the Customer's own invoicing account (such as Számlázz.hu or Billingo), started from SzervizAI.
The following also apply to the Parts finder and supplier prices add-on:
- The system receives supplier prices, stock and delivery times through the Customer's own supplier access. The access, the contract with the supplier, and the prices, stock, delivery and the supplier's invoice are part of the legal relationship between the Customer and the supplier. The Provider uses the login details only for connecting and running the service, stores them encrypted, and deletes them at the Customer's request or when the contract ends.
- The Provider only switches on the supplier connection if, in a trial, the prices shown match those on the supplier's own interface and a trial order has arrived correctly in the Customer's supplier account.
- The system places supplier orders only in the Customer's name, with the Customer's own supplier account, under the rule set by the Customer (for example a value limit, supplier or item type). Where there is no rule, above the value limit, and for items flagged for checking (not an exact part number match, a cross-reference, a superseded part number), the order only goes out with the Customer's approval. An order placed is the Customer's order. The Customer is responsible for setting and changing the rule, and can switch the rule off at any time.
- The selling price is calculated by the margin rule given by the Customer; the Customer is responsible for the content of the rule. Whether a part fits (whether the vehicle and the part match) is always decided by the Customer's professional.
- The Provider is not liable for incorrect prices, stock or delivery times given by the supplier, for outages of the supplier's interface, or for orders placed under the Customer's rule or approved by the Customer. The limitation of liability in section 7 also applies to this add-on.
3. Ordering and setup
The contract is concluded when the Customer accepts the written offer or, for an online order, when the Customer places the order and the card payment succeeds (for an order that starts with a free trial, when the Customer gives their card details). The Customer receives an email confirmation of an online order straight away, and the invoice by email after payment. The steps of an online order are: choosing the package, module or add-on on the website, pressing the order button, then entering the details on the secure payment page (Stripe) and submitting the payment. Input errors can be corrected at any time before the payment is submitted: the fields of the payment page can be edited, and the choice can be changed by going back. The contract is concluded in Hungarian; this English text is a translation. A contract concluded online counts as a written contract: the Provider keeps an electronic record of the order, which remains accessible through the confirmation email. The setup steps are: assessment, setup, trial week, go-live. The Customer provides the information needed for the setup (services, prices, opening hours, rules) and is responsible for its accuracy.
4. Fees and billing
- The service is charged as a monthly fee. With a monthly subscription, the packages, pairs and single modules start with a one-time setup fee, which the Customer pays together with the first monthly fee for an online order, and which the Provider invoices at go-live for an order based on a written offer; add-ons have no setup fee, and neither does Receptionist Start. Prices in USD. No sales tax or VAT is added to my invoice. The Customer can choose a package, a pair or a single module, and add add-ons to any of them.
- Packages, monthly fee and setup fee: Starter $289 and $329, with 100 call minutes a month; Workshop $549 and $589, with 500 call minutes a month; Network $949 and $1,190, with 1,500 call minutes a month.
- Single modules, monthly fee: Website chatbot $169; Online booking $149; Receptionist Start $199; AI receptionist, 300 minutes $349; Customer and vehicle CRM $169; Automations $149; Tire storage $119. The setup fee is $259 per module, except for Receptionist Start, which has no setup fee. Receptionist Start comes with a 7-day free trial, during which no fee is payable. For an online order, the subscription continues automatically at the end of the trial and the card given is charged, unless the Customer cancels by email before the trial ends.
- Pairs, monthly fee: Phone and calendar $439; Customer relations $259; Tire season $319, with a setup fee of $259 per pair.
- Add-ons, monthly fee, with no setup fee: +500 call minutes $289; Additional location $229; Second-language receptionist $89; Facebook, Instagram and WhatsApp messages $89; Google review requests $59; SMS notifications, 500 a month $89; Parts finder and supplier prices $109. An add-on that needs a module can only be ordered with that module or a package that includes it.
- Phone traffic above the call minutes included in the package or module is charged as set out in the written offer. For 5 or more locations, fleets or a custom integration, a custom offer is made. The fee set out in an individual offer may differ from those listed here.
- For an annual subscription, the fee is 10 monthly fees, covering 12 months, with no setup fee (Starter $2,890, Workshop $5,490, Network $9,490). This applies to every package, module, pair and add-on.
- Billing: for a monthly subscription, monthly in advance; for an annual subscription, yearly in advance, by electronic invoice. For an online order, the Customer pays by card: the first fee when ordering, and the following fees automatically at the start of each period; the Provider emails the invoice after payment. Otherwise, the payment term is 8 days from the date of the invoice.
- In the event of late payment, the Provider may charge default interest under the Hungarian Civil Code. If payment is more than 15 days late, after a written reminder, the service may be suspended until the debt is settled; the Customer's data is kept during this time.
- Fee changes: the Provider may change the fee by giving at least 30 days' notice in writing. The Customer may terminate free of charge before the change takes effect. The fee of an annual subscription does not change during the year already started.
5. Data processing
For customer data, the Customer is the controller and the Provider is the processor. Before the service starts, the parties conclude a written data processing agreement in line with Article 28 of the GDPR. When the contract ends, the Provider hands over the Customer's data in a standard format, and then deletes it as set out in the data processing agreement.
6. Availability and support
The Provider aims for 99.5% monthly availability. Planned maintenance is announced by email at least 2 business days in advance and, where possible, scheduled outside opening hours. Faults can be reported to hello@szervizai.hu. On business days the Provider answers within 1 business day, and starts fixing a fault that prevents the use of the service without delay after it is reported. The Provider is not liable for outages caused by outside providers (telephone network, cloud providers), but helps restore the service.
7. Liability
The Provider's liability for damage caused by breach of contract is limited to the amount of fees paid by the Customer in the 12 months before the damage. This limitation does not apply to breaches of contract committed intentionally or with gross negligence, or to those harming human life, physical integrity or health (Section 6:152 of the Hungarian Civil Code). The Provider is not liable for damage arising from incorrect data given by the Customer, or from using the general information given by the digital assistant as a technical expert opinion. The technical condition of a vehicle is always decided by the workshop's professional. Towards a Customer who is a consumer, this limitation applies only to the extent the law allows.
8. Term and termination
A monthly subscription runs for an indefinite period, and either party can terminate it in writing with 30 days' notice. An annual subscription runs for 12 months and can be terminated with effect from the end of the period; the proportionate part of the annual fee paid is not refunded, unless the termination is due to a serious breach of contract by the Provider. Either party can terminate with immediate effect if the other party seriously breaches the contract and fails to remedy it within 15 days of a written notice. On termination, the Provider hands over the Customer's data in a standard format.
9. Other provisions
Matters not covered by these terms are governed by Hungarian law, in particular Act V of 2013 on the Civil Code. The parties settle disputes primarily through negotiation; if that fails, the Hungarian court with jurisdiction and competence decides. A consumer may also bring proceedings before the courts of their place of residence where the law allows this. The choice of Hungarian law does not deprive a consumer living in another country of the protection of the mandatory consumer protection rules of that country.
10. Provisions for consumers
- Right of withdrawal: a consumer may withdraw from the contract within 14 days of its conclusion, without giving reasons (Hungarian Government Decree 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses). The withdrawal must be sent by email (hello@szervizai.hu) or by post (5700 Gyula, Szőlős utca 4/1., Hungary) before the deadline. The model withdrawal form in Annex 2 of the Decree may be used, but a clear email is enough, for example: “I withdraw from my contract for the SzervizAI subscription. Name, email address, date of the order.”
- Model withdrawal form (Annex 2 of Government Decree 45/2014): “To: Tokár Ádám egyéni vállalkozó, 5700 Gyula, Szőlős utca 4/1., Hungary, hello@szervizai.hu. I hereby give notice that I withdraw from my contract for the provision of the following service: SzervizAI subscription. Concluded on: … Name of consumer: … Address of consumer: … Signature of consumer (only if this form is notified on paper): … Date: …”
- If the consumer expressly asks for the setup to start during the withdrawal period and then withdraws, they pay a proportionate fee for the service provided until the withdrawal. If, with the consumer's express prior consent and their acknowledgement that they lose the right of withdrawal, the service has been fully performed within the withdrawal period, the right of withdrawal ends. Withdrawal during the free trial is free of charge.
- On withdrawal, the Provider refunds the amount paid by the consumer, less any proportionate fee, within 14 days of learning of the withdrawal, using the same payment method the consumer used.
- Conformity: for the digital service, the consumer has the rights set out in the Hungarian Civil Code and Hungarian Government Decree 373/2021 (VI. 30.).
- Complaints: a consumer can send a complaint by email (hello@szervizai.hu) or by post (5700 Gyula, Szőlős utca 4/1., Hungary). The Provider answers it in writing, with reasons, within 30 days, and keeps the complaint and the answer for 3 years. If the complaint is not resolved, the consumer can turn to the conciliation body competent for their place of residence or for the Provider's registered address: Csongrád-Csanád County Conciliation Board (Csongrád-Csanád Vármegyei Békéltető Testület), 6721 Szeged, Párizsi krt. 8-12., Hungary, email: bekelteto.testulet@csmkik.hu, www.bekeltetes-csongrad.hu. The Provider cooperates in the conciliation procedure. The consumer can also turn to the consumer protection authority and the courts of their place of residence.
